Referral Program - Terms & Conditions

The following are the terms and conditions of participation in the Accelerator Enterprise Technologies Customer Referral Program. "Referrer" refers to yourself, and "AET" refers to Accelerator Enterprise Technologies, 5959 West Century Blvd., 7th Floor Los Angeles, CA 90045. This Agreement may be revised at our discretion at any time.

Commission and Payment

AET will pay "Referrer" a set commission for each new customer referral to AET. The amount of the commission will vary depending on the type of service(s) that are to be provided the the new customer. Referrer commission shall be paid by company check in US dollars. Referrers will be paid between 30 and 60 days after new customer makes first payment for services performed. As required by US Law, US Residents are required to sign a W-9 form for the Internal Revenue Service before we can send your first payment.

All Customer Referral Program applications are subject to approval by AET.

Referral Code

Upon acceptance, you will be issued a "Referral Code" which allows us to identify new customers as originating from you. As long as a new customer uses your Referral Code when requesting a service, we will be able to identify the customer as originating from you. For you to receive Commissions, a new client must use your Referral Code. Referrer is solely responsible for ensuring that their referrals use the proper Referral Code.

AET reserves all rights in or to its trademarks but may be used by Referrer in accordance with this agreement. Referrer may in no way display a AET related logo, image, or trademark, which may be distasteful, defame, or misrepresent its brand. AET has the right to specify how and if a trademark may be used by the Referrer. Referrer shall take great care to not misrepresent AET products or services.

Referrer agrees to NOT SEND UNSOLICITED or SPAM mail to promote AET services. This action is grounds for immediate termination of your account with a cancellation of any pending commissions.

Non-Qualifying Referral Referrers

Web Sites or businesses that promote sexually explicit material or violence do not qualify as a Referral Referrer. Sites or business that promote discrimination based on race, sex, religion, national origin, and physical disability shall not be accepted. Sites that promote illegal activities shall not be accepted. Please do not apply if your web site or business promotes these kinds of activities. By applying, you are stating that your Site and business does not directly promote or endorse these activities.

Term of agreement

This agreement remains in affect until canceled by either party. Commissions earned through the date of expiration or cancellation of this agreement will remain payable only if qualifying sales are not canceled or refunded by the referred Customers and the Referrer has not violated this agreement. Payment of the final Commission payment to the Referrer may be withheld for a reasonable time in order to ensure that the correct amount is paid.

Disclaimer

AET will make every reasonable effort to track and pay commissions for all sales that apply to Referrer. However, AET is not responsible for technical problems, Acts of God, acts by third parties, or other events outside our reasonable control, which may temporarily disrupt or diminish this service. We will may every reasonable effort to identify the originating partner and credit them accordingly.

Privacy

To protect AET customer privacy, we cannot provide identifying customer names and contact information to you. However, we will provide a report with each Referrer payment detailing services provided and date of sale.

Independent Contractor

The relationship between AET and Referrer established by this Agreement is that of independent contractors. AET and Referrer shall each conduct its respective business at its own initiative, responsibility and expense, and shall have no authority to incur any obligations on behalf of the other, except as otherwise provided herein. The term "Referrer" shall not be interpreted as a legal partner, but instead an independent contractor for AET under this agreement.

Warranty Disclaimer

AET makes no warranties expressed or implied with regard to Customer Referral Program except as outlined in this agreement.

Limitation of Damages

AET shall not be held liability for any indirect, incidental, special or consequential damages or any loss of revenue or profits arising under or with respect to this agreement or program, even if AET has been advised of the possibility of such damages. AET aggregate liability arising under or with respect to this agreement or the program shall in no event exceed the total commissions paid or payable by AET under this agreement.

Referrer understands that Referral tracking can never be 100% accurate and AET is not responsible for inaccuracies that might occur beyond its control. Tracking of Referral sales depends on the referred customer providing the proper Referral Code. It is the goal of AET to make Referral tracking as accurate as possible, however, AET cannot guarantee 100% tracking reliability for situations beyond its control.

Cancellation

AET holds the right to cancel a Referrer's account for any reason if deemed necessary. If the terms of this agreement were not violated by the Referrer, then payment will be given to the Referrer for any services provided to a new customer or outstanding commissions if the account is canceled by AET.

Governing Law

The laws of the County of Los Angeles, CA and the United States shall govern this agreement.
